The Band Or Group Partnership Agreement is a partnership agreement establishes a business entity amongst the members of a band or group and sets forth the agreements amongst the members on the business issues that arise between them (e.g. profit sharing, decision making, etc.). This agreement allows for the appointment of a managing partner or partners to care of the day-to-day business of the group. It also addresses the rights and responsibilities of the partners, division of profits and voting rights of the partners on band business. Because the entertainment industry and the business of a musical group have legal issues specific to the industry such as copyright in songs, trademark rights in band name, merchandise rights, what happens when a band member quits, etc. , this agreement provides for the ways to address these rights amongst band or group members. Also included is a form Resolution for documenting a vote on initial partnership business such as choosing a managing partner and setting up a bank account.

It is important to understand that each state has laws regulating business entitiesMost states do not require a written partnership agreement or require you to register the entity to act as a partnership. But if you do have an agreement there may be specific requirements you have to meet including language in your agreement or registering your entity with the state. You may need to consult with an attorney, CPA or other knowledgeable business advisor, or research the law, to make sure you are adhering to your state’s laws.
